Purpose
NeutraPell ™ products are sold through authorized resellers. This Minimum Advertised Price (MAP) Policy is established to protect and maintain the value of the NeutraPell ™ brand and ensure fair competition among our authorized resellers.

Scope
This policy applies to all authorized distributors, dealers, and resellers (“Resellers”) who market, advertise, or sell NeutraPell ™ in any public forum, including but not limited to:
• Websites and online marketplaces
• Print and digital advertisements
• Email promotions
• Social media ads
• Catalogs and flyers

Private, individualized price quotations in response to a customer inquiry are not considered advertising.

MAP Pricing
The current MAP price for each product is listed in the Price List & Distribution Agreement, updated periodically.
Resellers may sell products at any price they choose, but they may not advertise below the MAP price.
“Advertising” includes visible prices, strike-through pricing, call-out pricing, coupon codes, and statements implying lower prices (e.g., “lowest price anywhere,” “we beat MAP,” or “add to cart for lower price”).

Online Marketplaces
For online platforms (e.g., Amazon, eBay, Walmart Marketplace):
Displayed prices must comply with MAP.
Cart-level or checkout pricing must not display a MAP-violating price unless it is only visible after manual user action (e.g., request a quote).
Hidden or algorithmically generated discounts that violate MAP are prohibited.

Enforcement
Violations of the MAP Policy may result in:
First violation: Written warning
Second violation: Temporary suspension of supply
Third violation: Termination of reseller authorization and account closure
Spervin, LLC reserves the right to take immediate action without warning in cases of severe or repeated violations.

No Negotiation
This MAP Policy is unilateral and non-negotiable.
Spervin, LLC does not seek or accept agreement or approval from any reseller regarding the policy.

Policy Modifications
Spervin, LLC may modify or update the MAP Policy at any time. Changes will be communicated in writing and will take effect upon distribution.
